Corporate law is a cornerstone of the firm's practice. We assist our clients - both domestic and foreign - in managing their day-to-day legal affairs and in structuring their activities to avoid future problems. As outside legal counsel, we are accustomed to dealing with the broad range of matters that arise in the day to day conduct of a business. We endeavor to provide comprehensive advice on all aspects of the law which will affect the client's activities, including not only general corporate and contract law, but also related fields where appropriate, such as tax, immigration, employment, antitrust, real estate, and litigation. To provide practical and cost-effective counsel, we emphasize the importance of working closely with each of our clients and learning the details of their business.

The firm has particular expertise in the international area where we counsel domestic and foreign clients on cross-border transactions to the extent such transactions are governed by U.S. law. Our knowledge of foreign languages and foreign cultures enables us to advise our clients on how to plan for problems they will face in an unfamiliar business environment, whether it is here in the United States or abroad. We also maintain close ties with lawyers throughout the world whom we call upon to work with us on matters involving multijurisdictional legal issues.

As examples of our corporate work, we frequently form and/or reorganize domestic and offshore corporations, partnerships, and limited liability companies. We assist our clients in their business transactions - drafting and negotiating contracts for the sale of their products and preparing and negotiating joint venture agreements, commercial leases, employment contracts, distribution, technology, license agreements, and the like.

Clients have looked to us when they have made acquisitions (both asset and stock), merged or reorganized. The firm performs due diligence investigations, participates in negotiations, and prepares the final documentation. We have often been involved in multinational transactions where a company in one country is purchasing or selling a subsidiary or division in another country. We also routinely review and negotiate documentation for sophisticated financings, credit facilities and swap transactions.
